Homestaurant's Vendor Guidelines

Homestaurants.com – Non-Profit Association (Verein), Basel, Switzerland

This Vendor Agreement (“Agreement”) is entered into between Homestaurants.com, a non-profit association registered in Basel, Switzerland (“we”, “us”, or “the Platform”), and the individual or entity registering as a vendor (“you” or “Vendor”).
By creating a vendor account or listing food items on the Platform, you agree to the following terms.

1. Vendor Eligibility

1.1 Age Requirement
You must be at least 18 years old to operate as a vendor.

1.2 Legal Authorization
You confirm that you are legally permitted to prepare and sell food from your home or commercial kitchen in accordance with Swiss federal and cantonal food regulations (including Basel-Stadt requirements).

1.3 Permits and Certifications
You must obtain and maintain all licenses, approvals, and health certifications required by your canton or municipality.

1.4 Verification
You agree to provide proof of permits or certifications upon request.

2. Food Safety Obligations

2.1 Compliance With Swiss Food Law
You are solely responsible for ensuring that all food you prepare complies with:

• Swiss Foodstuffs Act (Lebensmittelgesetz, LMG),
• The Foodstuffs and Utility Articles Ordinance (LGV),
• Relevant cantonal health regulations, including hygiene and inspection requirements.

2.2 Safe Preparation and Storage
You must ensure your food is prepared, stored, and handled in a clean, safe, and hygienic environment.

2.3 Allergen Disclosure
You must provide accurate, complete information about all ingredients and potential allergens before customers make a purchase.

2.4 Quality Assurance
All food offerings must be fresh, correctly packaged, and delivered in a safe condition.

3. Vendor Responsibilities

3.1 Menu Accuracy
You agree to list clear, accurate descriptions and images of your meals.

3.2 Order Fulfillment
You are responsible for accepting, declining, preparing, and delivering orders directly to customers.

3.3 Customer Communication
You must respond to customer inquiries, changes, delays, or issues promptly and professionally.

3.4 Customer Complaints
You must manage and resolve your own customer disputes, including quality issues, refunds, and delivery problems.

4. Payments and Financial Independence

4.1 No Payment Processing by Homestaurants.com
Homestaurants.com does not:

• process payments,
• receive or transfer money,
• act as a financial intermediary,
• hold funds on behalf of vendors or customers.

4.2 Direct Payment Between Vendor and Customer
All payments take place directly between you and the customer outside the Platform.

4.3 Financial Liability
You acknowledge and agree that Homestrestaurants.com is not liable for:

• failed payments,
• fraud,
• chargebacks,
• disputes between customers and vendors.

4.4 Taxes
You are solely responsible for reporting and paying any applicable taxes according to Swiss law.

5. Platform Use

5.1 Non-Exclusive License
We grant you a limited, non-exclusive right to list your food offerings on our platform.

5.2 User Content License
You grant us permission to display your menu, reviews, photos, and descriptions on the platform.

5.3 Prohibited Content
You may not upload:

• misleading information,
• copyrighted material you do not own,
• inappropriate or unsafe content.

5.4 Platform Availability
We do not guarantee uninterrupted service, error-free operation, or continuous access.

6. Liability and Disclaimers

6.1 Vendor’s Sole Responsibility
You acknowledge that you, not Homestaurants.com, are responsible for:

• food safety,
• ingredient accuracy,
• packaging,
• customer service,
• hygiene compliance,
• legal compliance,
• financial transactions.

6.2 No Liability for Food or Conduct
Homestrestaurants.com is not responsible for:

• sickness, allergic reactions, or contamination,
• harm or damage caused by your food or services,
• conduct or actions of vendors or customers.

6.3 Limitation of Liability
To the fullest extent permitted by Swiss law, the Platform and its association members shall not be liable for indirect, incidental, or consequential damages arising from your use of the Services.

7. Termination

7.1 Termination by Vendor
You may delete your vendor account at any time.

7.2 Termination by Homestrestaurants.com
We may suspend or terminate your vendor access if:

• you violate any part of this Agreement,
• you fail to maintain required food safety permits,
• repeated customer complaints indicate unsafe practices,
• fraudulent or unethical activity is suspected.

7.3 Effect of Termination
Upon termination, your listings will be removed from the Platform. You remain responsible for outstanding customer commitments.

8. Governing Law and Jurisdiction

This Agreement is governed by Swiss law.
Any disputes shall be resolved exclusively by the courts of Basel-Stadt, Switzerland.
